What is an anticipated breach of contract?
Anticipated breach of contract is a situation where a contract exists between the parties but one of the parties to the contract does not intend to comply with the provisions of the contract, and may even have explicitly notified the other party of this. In this situation, the question arises as to what the injured party can do in such a case?
The answer to this question can be found in the provisions of Section 17 of the Contracts Law (remedies due to Breach of contract), תשל"א – 1970, אשר קובע כך:
If a party to a contract expresses his intention not to perform the contract, or if it becomes apparent from the circumstances of the matter that he will not be able or will not wish to perform it, the other party is entitled to remedies under this Law even before the date set for performance of the contract, provided that the court, in issuing an enforcement order, does not order that payment be made before the date set for performance.
From Article 17 of the Contracts Law we can understand the following regarding foreseeable breach of contract:
- Anticipated breach of contract refers to a situation where one party has expressly announced that it will not perform the contract or This can be understood from the circumstances.
- Even in the event of an anticipated breach, the injured party is entitled to remedies (remedies) under Contract Law.
- Remedies for an anticipated breach can be claimed even before the date set for performance of the contract.
- No remedies can be obtained for foreseeable breach of a contract if the court issued an enforcement order for the performance of the contract and did not order that the provisions of the contract be carried out before the date set for its performance (in the contract itself).

What remedies can be claimed for foreseeable breach of contract?
The remedies for anticipated breach are the same as the remedies for actual breach of contract, and are defined in Section 2 of theContract law, which states as follows:
If a contract is breached, the injured party is entitled to demand its enforcement or Cancel the contract, and is entitled to compensation, in addition to or in place of one of the aforementioned remedies, all according to the provisions of this law.

בעניין הפרה צפויה בית המשפט העליון קבע במסגרת ע"א 195/85 בנק איגוד לישראל נ' ז'אק סוראקי (פסק דין מיום 20.2.1989), בין היתר, כך:
כזכור, לפני תום העבודה, בסביבות השעה 15:30, הודיע ד"ר בר-אור למשיבים, כי אין באפשרותו לבצע את העיסקה עוד באותו היום. הודעה זו עולה, מן הבחינה המשפטית, כדי הפרה צפויה, כהגדרתה בסעיף 17 לחוק החוזים (תרופות בשל הפרת חוזה), אשר לפיו:
"גילה צד לחוזה את דעתו שלא יקיים את החוזה, או שנסתבר מנסיבות הענין שלא יוכל או לא ירצה לקיימו, זכאי הצד השני לתרופות לפי חוק זה גם לפני המועד שנקבע לקיום החוזה, ובלבד שבית המשפט, בנתנו צו אכיפה, לא יורה שיש לבצע חיוב לפני המועד שנקבע לקיומו".
גילוי דעתו כאמור של צד לחוזה, מקנה ל"נפגע הצפוי" ברירה בין מספר תגובות חלופיות. כך נקבע בע"א 674/83 [6], בעמ' 123, מפי השופט בך:
"ואכן, משגילה צד דעתו, כי מתכוון הוא להפר את החוזה, או שנסתבר מנסיבות העניין, כי הוא עומד לעשות כן, עומדות לפני הצד שכנגד אפשרויות אחדות:
a) He can 'accept' the anticipated breach and reconcile himself to the other party's desire to withdraw from the contract. In doing so, the party harmed by the anticipated breach effectively cancels the contract and releases all parties to it from the obligation to act on it;
b) He can protest the anticipated breach and consider the contract null and void and claim adequate compensation;
ג) יכול הוא 'לדחות' את ההפרה הצפויה, תוך עמידה על זכותו לקיים את החוזה. אם בחר הנפגע מן ההפרה הצפויה בדרך זו, עומד החוזה בתוקפו, החיובים השונים על פיו שרירים וקיימים, שני הצדדים כאחד כפופים להם, ומטבע הדברים, אפשר שיופר החוזה על-ידי צד זה או אחר".
המשיבים טוענים, כטענה חלופית, כי לא היה כלל מקום לבחון את נושא הקטנת הנזק, שכן החובה להקטין את הנזק טרם נולדה ביום 2.9.82, שהרי עד תום אותו יום לא אירעה ההפרה ולא התגבש נזק הניתן להקטנה. הטענה היא כי הברירה הנתונה ל"נפגע הצפוי" מהפרה צפויה הוא לעמוד על קיום החוזה או לקבל את ההפרה הצפויה כהפרה. אם עמד על קיום החוזה, החוזה ממשיך להתקיים על כל חיוביו. מאחר שהחוזה עומד בתוקפו, הרי שעדיין לא הופר במשמעות הסעיפים 10- 13לחוק החוזים (תרופות בשל הפרת חוזה), וממילא לא נתגבשה חובת הקטנת הנזק הקבועה בסעיף 14(א) לחוק האמור:
"אין המפר חייב בפיצויים לפי סעיים 10, 12ו- 13בעד נזק הנפגע יכול היה, באמצעים סבירים, למנוע או להקטין" (ההדגשות שלי – מ' ש').
לעניין זה נאמר על-ידי פרופ' ז' צלטנר, דיני חוזים של מדינת ישראל (אבוקה, תשל"ד) 449:
"אין המפיר יכול לטעון כי הנפגע יכול היה להקטין את נזקו על-ידי מעשים שבהם יכול היה לנקוט לפני ההפרה, כי מבחינת ההגיון אין חובת הקטנת הנזק יכולה לקום לפני שהתעוררה שאלת הנזק, ז.א. לפני ההפרה. כך גם הדין האנגלי. משום כך אין שומעים טענה מפיו של המפיר, כי הנפגע יכול היה להקטין את נזקו לו היה 'מקבל' את הפרת החוזה ומבטלו. הנפגע רשאי להמשיך ולקיים את החוזה.
אבל אם 'מקבל' הנפגע את ההפרה ומביא את החוזה לידי גמר-שאני. מן הביטול מתחילה שרשרת הסיבתיות, וכן קיצורה בשל חוסר-פעולה מצידו לשם הקטנת הנזק, כלל זה כוחו יפה גם במקרה של הפרה צפויה, אם הנפגע 'מקבל' אותה. במקרה זה זכאי הנפגע לסעד של פיצויים כבר לפני המועד שנקבע לקיום החוזה. אמנם נקודת-המוצא לחישוב דמי הנזק עודנה המועד שנקבע לביצוע החוזה, אבל חובת ההקטנה מוטלת על הנפגע כבר החל ממועד 'קבלת' ההפרה" (הערות השוליים הושמטו – מ' ש').
אותה גישה נוקט גם פרופ' אורי ידין (א' ידין, "חוק החוזים (תרופות בשל הפרת חוזה), תשל"א-1970" פירוש לחוקי החוזים (המכון למחקרי חקיקה ולמשפט השוואתי, ג' טדסקי עורך, מהדורה 2, תשל"ט) 147148):
"הנובע מכך הוא שהצד הזכאי אינו חייב להפעיל את תרופותיו מיד, שאם לא כן היה מאחר את המועד להפעלתן, אלא הוא רשאי לעשות כן. רצה – יסתמך על ההפרה הצפויה ויפעיל את תרופותיו כבר עתה; רצה יחכה עד למועד הפירעון ואם עדיין קיימת הפרה, יסתמך עליה אז. גם בהוראה זו כמו בהרבה הוראות אחרות, מעניק החוק את הבחירה לנפגע. מכיוון שיש כאן זכות בחירה, לא יוכל המפר לטעון שהופר הנטל של הקטנת הנזק לפי סעיף 14במקרה שהנפגע בחר לחכות עד למועד הפרעון המקורי של החיוב ובינתיים גדל הנזק שעליו חייב המפר לפצות את הנפגע".

In conclusion
In certain cases, it is possible to receive monetary compensation and/or other remedies not only in the event of an actual breach of contract, but also in the event of an anticipated breach of contract, that is, in a situation where the stage has not yet actually reached where one of the parties must perform a certain action or pay a certain amount of money.
